GIVELINK — TERMS OF USE

1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the Givelink platform, website, mobile application, and related services (collectively, the “Platform”), operated by Givelink Inc, a Delaware corporation (“Givelink,” “we,” “us,” or “our”).

Givelink Inc is the parent company of Givelink Private Company (Greek IKE), which owns the Platform. Givelink Inc uses the Platform in the United States under a private agreement with Givelink IKE.

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are using the Platform on behalf of an organization or entity, you represent and warrant that you are authorized to accept these Terms on its behalf. These Terms constitute a binding legal agreement between you (or the entity you represent) and Givelink Inc.

By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.

We may modify these Terms from time to time. Updated versions will be posted on the Platform, and the “Last updated” date will be revised accordingly. Your continued use of the Platform constitutes your acceptance of the updated Terms.

2. Eligibility and Account Creation

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Platform.

Nonprofits must apply and be approved by Givelink before gaining access. Givelink may reject, suspend, or terminate a nonprofit’s participation at any time, at its sole discretion.

When creating an account, you agree to provide accurate, complete, and current information and to maintain and update it as needed. You are responsible for maintaining the confidentiality of your password and account credentials.

3. How Givelink Works

3.1 Nonprofits and Wishlists

Approved nonprofits can create and manage wishlists of goods they need. Givelink reviews and may suggest modifications, but we do not guarantee that wishlists accurately reflect real-world needs or compliance with all applicable laws. Givelink is not legally responsible for a nonprofit’s actions outside the Platform or for verifying that listed needs are complete or authentic.

3.2 Suppliers and Products

Givelink partners with suppliers that provide the goods listed on the Platform. Givelink purchases products wholesale and resells them to donors at retail prices, which include a markup. Suppliers are responsible for product quality, compliance, and delivery.

3.3 Donor Purchases

When a donor selects a nonprofit and purchases products on the Platform, Givelink sells those goods to the donor, including any applicable taxes. Ownership of the goods transfers to the donor upon purchase, subject to delivery to the chosen nonprofit.

Givelink will issue a purchase receipt to the donor via email after payment.

3.4 Delivery and Batching

Givelink does not handle logistics or perform deliveries. Orders are grouped by nonprofit and sent to suppliers as unified orders, typically every two to three weeks, although this may vary depending on total order size and supplier availability. Delivery times may range from 3 days to 3 weeks or longer.

All deliveries are sent to the nonprofit’s designated address. Donors cannot change the delivery destination after completing a purchase.

3.5 Product Adjustments and Refunds

If suppliers change stock or pricing, Givelink may adjust final orders to reflect availability. Donors will be refunded for any price differences resulting in lower costs. Donors will never be charged more than their original purchase amount.

Refunds are available only before Givelink places the grouped order with the supplier. Donors are notified by email when their order batch is submitted. Once that happens, refunds are no longer available.

3.6 Confirmation and Transparency

Once the nonprofit receives the goods, it will upload a photo of the delivery using its Givelink interface. Donors will receive an email with this image, which may include products from multiple donors.

The image serves as a transparency feature and is not legally binding proof of delivery. Donors who have concerns should contact Givelink at contact@givelink.app.

After delivery, nonprofits are responsible for issuing in-kind donation receipts in accordance with U.S. law.

3.7 Ownership and Delivery

Donors remain the technical owners of the goods until delivery to the nonprofit. Once the goods reach the nonprofit, ownership transfers, and the donor waives any right to redirect or reclaim the products.

4. Payments and Taxes

All payments are processed securely via Stripe, our third-party payment processor. By using the Platform, you agree to Stripe’s terms of service.

Donors are responsible for any applicable sales or use taxes. Givelink will collect and remit sales tax where required by law.

Funds collected from donors are used to purchase the products from suppliers and cover Givelink’s markup and operational costs.

5. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms.
  • Misrepresent your identity or affiliation.
  • Post or transmit false, misleading, or inappropriate content.
  • Interfere with or disrupt the security, integrity, or performance of the Platform.
  • Attempt to access any data or systems without authorization.

Givelink reserves the right to suspend or terminate accounts engaging in prohibited or suspicious activity.

6. Limitation of Liability

Givelink performs reasonable vetting of nonprofits and suppliers but does not guarantee their conduct, representations, or compliance with laws.

Givelink does not manufacture, inspect, store, or ship products. Suppliers are solely responsible for product quality and delivery.

To the maximum extent permitted by law, Givelink and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Platform.

Givelink’s total liability to any user shall not exceed the total amount paid by that user for the specific transaction giving rise to the claim.

7. No Warranties

The Platform is provided on an “as is” and “as available” basis. Givelink makes no warranties or representations, express or implied, regarding the Platform’s accuracy, reliability, or availability.

We do not guarantee uninterrupted or error-free operation and are not responsible for delays, technical failures, or service interruptions caused by external factors.

8. Intellectual Property

All content, trademarks, software, logos, and materials on the Platform are the property of Givelink or its licensors and are protected by U.S. and international intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from any Givelink content without our prior written consent.

9. Termination

Givelink may suspend or terminate access to the Platform at any time, with or without notice, for violation of these Terms or other reasons deemed appropriate.

Upon termination, your right to use the Platform ceases immediately.

10. Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, excluding conflict-of-law rules.

Any legal proceedings must be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.

If a court finds that applying Delaware law or venue would violate a non-waivable right under another jurisdiction’s laws (e.g., for California residents), those specific provisions will not apply, but the remainder of these Terms will remain in effect.

11. Miscellaneous

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.

Assignment: You may not assign these Terms without Givelink’s written consent. Givelink may assign these Terms freely.

Notices: We may contact you electronically via the email associated with your account or through the Platform.

Entire Agreement: These Terms, along with our Privacy Policy, constitute the complete agreement between you and Givelink.

Waiver: Givelink’s failure to enforce any provision of these Terms does not waive our right to enforce it later.
